HSIWES+ REFERRAL MARKETING AGREEMENT
OVERVIEW
This HSIWES+ Referral Marketing Program Agreement (the “Agreement”) becomes effective upon your click of the “I accept” button.
BETWEEN:
HiiT PLC: A company organized under the laws of the Federal Republic of Nigeria, with its head office in Abuja.
Referral: An individual or entity, details provided in the HSIWES+ Referral Marketing Form.
In consideration of the terms and covenants herein, the parties agree as follows:
RECITALS
1. The referral program is named the HSIWES+ Referral Marketing Program (HRMP).
2. The HSIWES+ Referral affirms understanding and agreement to privacy policies.
3. “HSIWES+ Referral” refers to the applicant,
4. www.hiiplc.com is owned by HiiT PLC.
5. “Merchandise” encompasses products offered by the Owner.
1. HSIWES+ REFERRAL MARKETING PROGRAM REGISTRATION
To register, the HSIWES+ Referral must complete and submit the HSIWES+ Referral Program Application Form available on the Owner’s website.
2. APPROVAL OR REJECTION OF HSIWES+ REFERRAL APPLICATION
The Owner reserves the right to accept or reject applications at its discretion, with no legal recourse for rejection.
3. REASONS FOR REJECTION
Rejection may occur for incomplete applications, inappropriate content, or violations of intellectual property rights.
4. Disqualified Persons
Employees of HiiT PLC & its subsidiaries are prohibited from the program.
5. TERMINATION AFTER ACCEPTANCE
The Owner retains the right to terminate HSIWES+ Referral status for any reason, even post-acceptance.
5. FINANCIAL RESPONSIBILITIES
The HSIWES+ Referral is responsible for all costs associated with maintaining and marketing the program.
6. NO REPRESENTATIONS REGARDING INCOME POTENTIAL
The Owner disclaims making income representations, emphasizing the HSIWES+ Referral’s responsibility.
7. RESPONSIBILITY TO LINK TO THE OWNER’S SITE
(a) The HSIWES+ Referral must place links on their channels to the Owner’s site.
(b) The Owner provides various links and materials for promotional use.
(c) Links must not be modified without approval.
(d) The Owner monitors compliance.
(e) Information on traffic from HSIWES+ Referral’s Channels may be shared.
8. ANTI-SPAM POLICY
The Owner strictly prohibits Unsolicited Commercial Email (UCE) or SPAM campaigns, with penalties outlined for violations.
9. CUSTOMER SERVICE
(a) The Owner handles customer inquiries, orders, billing, and shipment related to the HSIWES+ Referral’s Channels.
(b) The Owner is not responsible for unassigned sales due to improper link formatting.
10. COMPENSATION
(a) The HSIWES+ Referral is entitled to 10% Commission on sales.
(b) Payment will be made at the end of every week for sales up to the minimum commission amount.
(c) Commissions are based on sales through the HSIWES+ Referral’s Channels.
(d) Commissions is paid upon collection of payment by the Owner.
(e) Minimum commission payment is N10,000.
11. CUSTOMER’S PROVENANCE
All customers are considered Owner’s customers, subject to Owner policies. The Owner may contact and market to these customers.
12. TRADEMARKS AND COPYRIGHTS
The HSIWES+ Referral has a limited license to use provided trademarks and copyrighted materials for promotional purposes.
13. PRODUCT AVAILABILITY
The Owner does not guarantee product availability or special prices.
14. RESPONSIBILITIES
The HSIWES+ Referral is responsible for their channels, ensuring no infringement or illegal content.
15. REPRESENTATION AND WARRANTIES
The HSIWES+ Referral represents having the authority to enter this Agreement, duly authorized by all necessary actions.
16. TERMS
The Agreement becomes effective upon acceptance of the HSIWES+ Referral Program Application.
17. TERMINATION
Termination details are outlined, including forfeiture of past commissions for non-compliance.
18. MODIFICATIONS
The Owner reserves the right to modify terms and conditions, with 1 week notice provided to the HSIWES+ Referral.
19. LIABILITIES
The Owner disclaims warranties and limits liability for downtime, damages, or losses.
20. CONFIDENTIALITY
The HSIWES+ Referral agrees to keep confidential information about the Owner’s business.
21. INDEMNIFICATION
The HSIWES+ Referral indemnifies the Owner against claims arising from program participation.
22. GOVERNING LAW
This Agreement is governed by the laws of the Federal Republic of Nigeria.
23. RELATIONSHIP OF THE PARTIES
The parties are independent contractors, not forming any other relationship.
24. NOTICES
Notices are communicated through certified mail or Email, with HSIWES+ Referral responsible for periodic checks.
25. ASSIGNMENT
The HSIWES+ Referral has no right to assign this Agreement.
26. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties, superseding prior agreements.
